PhedExCup By-Laws
Ratified August 2022. Addendum 4 added prior to 2026 season.
Article 1 β Name
The name of the association shall be The PhedExCup.
Article 2 β Mission Statement
The common purpose of the PhedExCup is to provide a friendly and select group of members of the Bay Hill Club and Lodge based in Orlando, FL the opportunity to participate in an organized and competitive multi-week tournament known as The PhedExCup.
Article 3 β Officers of the PhedExCup
Section 1
The officers of The PhedExCup shall be known as the Commissioners. The Commissioners shall share in the roles and responsibilities as outlined below and shall not prescribe titles or rank.
- There shall be no less than 3 Commissioners during any PhedExCup season and no more than 4.
- Except for the competition and tournament rules as outlined in Addendum 2, the by-laws may be adopted, repealed, or amended, in whole or in part, prior to the season, by a unanimous vote of all Commissioners.
Section 2 β Term of Office
Term of office shall be no greater than three (3) years.
Section 3 β Election of Commissioners
A nominating committee, composed of current and past Commissioners and one PhedExCup member selected by the Commissioners, shall nominate current PhedExCup members to serve as new Commissioners. The Commissioners shall be elected at the Annual Meeting which shall be held at least 2 months prior to the start of the new PhedExCup season. The newly elected Commissioners' term shall commence upon the conclusion of the Annual Meeting unless otherwise specified by the Commissioners.
The Commissioners shall meet a minimum of 2x per year to elect new Commissioners, delineate responsibilities, and tend to normal tasks and administrative details. Commissioners may elect to meet from time to time to address any member issues, recommendations and will consider adopting any modifications or suggestions through a unanimous vote.
Section 4 β Duties of the Commissioners
Duties may include but are not limited to:
- Treasurer β Collect all fees, pay out purse according to prescribed plan (Addendum 1) and use any reserve funds to pay for incidentals such as the end of the year banquet, tips for the staff, or for other purposes related directly to The PhedExCup.
- Rules β Generally to assure that all normal USGA and local rules are followed; communicate rules to all members; arbitrate any on-course issues.
- Competition β Generally to assure that all competition is conducted according to the rules as set forth by the Commissioners to ensure fair competition (Addendum 1); communicate weekly points and standings in a timely manner; maintain season-long scoring by event week and communicate the leaderboard on a weekly basis; run and/or assign members to organize the Playoffs and all non-competitive elements surrounding the Playoffs; help to facilitate any additional competition not directly related to the actual PhedExCup; organize the weekly game through rotation amongst the Commissioners or through a rotation amongst PhedExCup members per Addendum 5.
- Club Liaison Lead β Establish and maintain a cooperative and collaborative relationship with the head pro and members of the Pro-Shop; main point of contact regarding any issues therein; collaborate and consent on scheduling of events.
- Social Media Manager β Responsible to post on PhedEx social media accounts in keeping within normal and acceptable social media norms that reflect positively on The PhedExCup and the Bay Hill Club and Lodge.
- Branding and Communication β Assure that the current PhedExCup logo (Addendum 7) is used in all communication and for collateral and media usage; write season kick-off memo; provide season wrap-up write-up for inclusion in the Club newsletter; collect pictures of members in competition throughout the year.
Section 5 β Advisory Board
Rob Caravello, Rick Hilmer and Jason Rickard shall serve as advisors in perpetuity. Advisors will provide advice and consent on all matters related to governance and competition.
Article 4 β Membership
A select group of Bay Hill members shall be eligible for membership. Membership in good standing requires being a dues-paid member of both the Bay Hill Club and Lodge and The PhedExCup. The total number of members during any PhedExCup season shall not exceed 32. The Commissioners have sole and absolute authority to invite new members and to remove existing members.
Membership Consideration
No new member shall be admitted to The PhedExCup who is not widely known to the majority of PhedExCup members, does not participate in and support the Club, and has not participated multiple times as a guest of The PhedExCup in the year prior to consideration as a new member.
Membership Removal
Upon a review by the Commissioners and by unanimous decision, a member may be removed from The PhedExCup if they are deemed to have harmed the reputation of the organization, have repeatedly violated Bay Hill Club rules and regulations, have knowingly cheated during competition. In all other circumstances the Commissioners reserve full authority to remove a member.
Article 5 β Dues
Commissioners shall determine on an annual basis and 90 days prior to the new season the amount of dues payable to participate in The PhedExCup. The overall payout to the winner shall not exceed $2400. Dues may be raised to pay for non-purse-related items such as PhedExCup-branded apparel and other gifts (Addendum 6).
Article 6 β Competition
In order to maintain the integrity of competition and fairness, the Commissioners have outlined and prescribed the following rules and regulations. All tournament rules, points dispersion, playoff qualifications, and weekly game events shall be deemed codified.
Addendum 1 β Competition and Tournament
- All competition will be conducted under USGA and local rules.
- Competition will be conducted according to daily club rules such as lift, clean and place, special accommodations for areas under repair, and accommodations during the Bay Hill Tournament set up.
- All scoring will be conducted on a net basis. Maximum score on any hole is triple gross (max-triple).
- Players will compete using the most current GHIN handicap as updated on Sunday of competition. All players are responsible to report their current handicaps. If an incorrect handicap is used, scoring will be adjusted accordingly to reflect the correct handicap.
- Handicaps shall be capped at 18. At off-site events, handicaps will be adjusted accordingly with handicaps capped at 18. This applies to all events including the Finals.
- All competition will be conducted from the Yellow Tees.
- Players must compete in a minimum of 8 regular season events to qualify for the Playoffs and the Wild Card event.
- A player who has qualified via points but has not completed 8 starts is not eligible for the Playoffs or the Wild Card event.
- In the event a player drops out of competition due to injury or other unforeseen event, his points earned will remain on the leaderboard.
- Players are encouraged to resolve rules infractions amongst themselves or with the Pro-Shop. In cases where the spirit of the tournament is in question, players may seek a ruling by the Commissioners. All rulings are final.
- All events will be held during a prescribed period set by the Commissioners and will mostly occur during Sundays. No exception shall be made to play outside the prescribed period.
- Inclement weather β The Commissioners will make every effort to ensure all events are completed; will abide by club regulations relative to weather delays and cancellations.
- Cancellations prior to play β If an event is canceled prior to tee off, no player shall receive a start.
- Cancellations during play:
- If all players tee off and the event is canceled prior to 9 holes, all players will receive a start.
- All events will be considered final once 9 holes have been completed. Points will be awarded predicated on where players stand through 9 holes.

Commissioners will agree upon and in advance as to rescheduling any rained-out events. In the event rain-out
dates are not available the following shall apply:
- Qualifiers for the Playoffs: 15-week season β 8 starts + points earned.
- 14β13-week season β 7 starts + points earned.
- 12-and-fewer-week season β 6 starts + points earned.
Addendum 2 β Regular Season & Points System
Except for the Playoff rounds, the Regular Season shall consist of 16 one-day, 18-hole events as follows:
- 14 regular season events

2 Majors
- The first Major shall be conducted in the weeks leading up to the API.
- The second Major shall be conducted as part of the Club Championship.
Players will compete against the field to collect points. The top 10 players along with any ties who have earned the most points during the 14 regular season and 2 Majors events and have 8 starts automatically qualify for the Playoffs.
Points System
Points are awarded on an event-by-event basis based on the number of entrants in the field, with a separate scale for Majors.

Addendum 3 β Playoffs & Wild Card Qualification
Wild Card Event
Players who did not qualify for the Playoffs through season-long points and have 8 starts have a chance to earn a Playoff spot by winning the 18-hole Wild Card event. Only one player will earn a spot into the Playoffs via the Wild Card.
Ties will be resolved by a sudden death playoff.
Wild Card rain-out β In the event of a rain-out, Commissioners will find the next date that is most suitable where more than 51% of the field can participate. If less than 51% of the field is unable to participate or if no suitable make-up date is available then the Wild Card entrant shall be that player who has finished 11th overall during the regular season.
Playoff Qualification
- Players must have 8 starts and accumulated sufficient points to qualify for the Playoffs.
- The top 10 players with 8 starts and sufficient points shall qualify.
- Players ranked 1β6 shall receive additional strokes added to their current handicaps as of the Sunday of Playoffs competition (see Addendum 4).
- Players who have earned sufficient points to qualify but have not played 8 times do not qualify.
- If a player has qualified for the Playoffs Wild Card based on the above criteria but is unable to play in the semi-finals and Championship, that player shall be disqualified from entry into Playoffs / Wild Card.
- A player must announce intention to remove himself from contention prior to Wild Card and do so by contacting one of the Commissioners prior to play. Additionally, no player shall qualify for the Playoffs as the result of another player disqualifying themselves due to personal or family obligations.
- Players have 48 hours after the end of the round to dispute any scoring or points related issues. All results are official 48 hours following play.
Addendum 4 β Finals R1 Handicap Adjustment
Players ranked 1β5 receive additional strokes added to their current Bayhill handicap on the Sunday of Playoffs competition (Round 1 of Finals β first 18 holes only). Round 2 (second 18 holes, top 5 advancers) is played at true PHIN with no adjustments. Handicaps remain capped at 18 per Addendum 1.

Addendum 5 β Weekly-Game Rotation
The weekly game shall be organized through rotation amongst the Commissioners or through a rotation amongst PhedExCup members, as referenced in Article 3, Section 4 (Competition duties). Detailed rotation schedule maintained by the Commissioners and not reproduced here.
Addendum 6 β Dues-Funded Apparel & Gifts
Per Article 5, dues may be raised to pay for non-purse-related items such as PhedExCup-branded apparel and other gifts. Specific apparel program and gift schedule maintained by the Commissioners and not reproduced here.
Addendum 7 β PhedExCup Logo
The current PhedExCup logo shall be used in all communication, collateral, and media usage as referenced in Article 3, Section 4 (Branding and Communication). Logo file maintained by the Commissioners and not reproduced here.
